This includes, but is not limited to, data privacy laws, intellectual property laws, and business conduct regulations. Your agreement to these Terms forms a fundamental part of our professional relationship.

Logic Impact Group, LLC specializes in providing comprehensive solutions designed to optimize and modernize business operations. Our core offerings include:

• Artificial Intelligence (AI) Services: These advanced services encompass a broad spectrum of AI-powered solutions. This may include, but is not limited to, sophisticated AI-powered analytics for market trends or tenant behavior, intelligent automation tools for routine property management tasks like lease renewals or maintenance scheduling, predictive data insights to forecast property performance, and other AI-driven solutions meticulously designed to enhance the efficiency, profitability, and overall operational excellence of your business. Our AI services leverage cutting-edge technology to provide actionable intelligence and streamline workflows.
• Property Management Business Consulting: Our consulting services offer expert guidance and strategic support tailored specifically for property management businesses. This includes in-depth advisory services on best practices, strategic planning for growth and market positioning, operational optimization to improve tenant satisfaction and reduce costs, and various other forms of specialized consulting support aimed at resolving challenges and capitalizing on opportunities within the property management sector. We partner with you to implement sustainable improvements and achieve your business objectives.

The precise details, specific scope of work, and agreed-upon deliverables for any Service engagement will be meticulously outlined in a separate, mutually agreed-upon agreement, proposal, or statement of work ("SOW") executed between Logic Impact Group and the client. It is important to note that in the event of any discrepancy or conflict between the provisions of these general Terms and the specific terms detailed within an SOW, the SOW will take precedence and govern solely regarding the particular services described therein.

3. User Responsibilities and Conduct

You agree to utilize our Services exclusively for legitimate and lawful business purposes and in a manner that respects the rights of, and does not unduly restrict or inhibit, anyone else's access, use, and enjoyment of the Services. To ensure a secure and productive environment for all users, you explicitly agree not to engage in the following prohibited activities:

• Using the Services for any illegal or unauthorized purpose, including but not limited to fraud, harassment, or any activity that violates applicable laws or regulations.
• Uploading, transmitting, or distributing any harmful code, including viruses, worms, Trojan horses, or any other destructive content that could damage, disable, or impair the functionality of our Services or compromise the data of other users.
• Interfering with or deliberately disrupting the integrity or performance of the Services, our servers, networks, or the data contained within them, including through denial-of-service attacks or excessive automated requests.
• Attempting to gain unauthorized access to our systems, networks, or any accounts, data, or information belonging to other users or Logic Impact Group, through hacking, phishing, or any other illicit means.
• Misrepresenting your identity, affiliation with any person or entity, or the origin of any content you submit through the Services.

4. Intellectual Property

All intellectual property rights, titles, and interests in and to the Services themselves, including but not limited to the underlying software code, algorithms, designs, user interfaces, textual content, graphical elements, logos, trademarks, service marks, and all associated documentation, are exclusively owned by or duly licensed to Logic Impact Group, LLC. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes, strictly as permitted by these Terms and any specific terms outlined in an applicable SOW. This license does not grant you any ownership rights or any rights to modify, adapt, reverse engineer, decompile, or create derivative works from the Services.

Regarding any output generated by our AI services, where such output is created directly based on your proprietary input data and does not incorporate or rely on Logic Impact Group's pre-existing intellectual property (such as our core AI models or algorithms), ownership of such specific output may reside with you, subject to the explicit terms and conditions stipulated in any specific SOW. This ensures clarity regarding data ownership and the results derived from your unique business information.

5. Confidentiality

Both parties, Logic Impact Group and the client, mutually agree to rigorously maintain the confidentiality of all proprietary and confidential information disclosed by one party to the other during the entire course of providing or receiving the Services. This broad category of confidential information includes, but is not limited to, sensitive business plans, financial data, pricing strategies, client lists, tenant information, operational methodologies, trade secrets, technical specifications, software architecture, marketing strategies, and any other non-public information designated as confidential or which, by its nature, should reasonably be understood to be confidential. Information will not be considered confidential if it is already publicly available, was independently developed by the receiving party without reference to the disclosing party's confidential information, or was rightfully obtained by the receiving party from a third party without any breach of confidentiality obligations.

6. Disclaimers and Limitation of Liability

No Guarantees

While Logic Impact Group is committed to employing commercially reasonable efforts to provide high-quality Services and accurate AI outputs, we cannot and do not guarantee specific outcomes, results, or the absolute accuracy of all data or predictions derived from the use of our AI services or consulting advice. AI outputs are inherently based on complex algorithms, statistical models, and the quality of the input data, and therefore, actual results can vary significantly and are not guaranteed. Similarly, consulting advice is based on professional judgment, industry experience, and available information, but its effectiveness depends on various external factors beyond our control.

"AS IS" Basis

Our Services are provided strictly on an "as is" and "as available" basis, without any warranties or representations of any kind, whether express, implied, or statutory. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Logic Impact Group does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no warranty that the Services will meet your specific requirements or expectations.

Limitation of Liability

To the maximum extent permitted by applicable law, Logic Impact Group, LLC, its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes, but is not limited to, any loss of profits or revenues (whether incurred directly or indirectly), loss of data, loss of use, loss of goodwill, business interruption, or other intangible losses, even if Logic Impact Group has been advised of the possibility of such damages. These limitations apply regardless of the legal theory, whether based on warranty, contract, tort (including negligence), or any other legal theory, and result from: (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) unauthorized access, use, or alteration of your transmissions or content; or (d) any other matter relating to the Services.

In no event shall our total aggregate liability for any and all claims arising out of or relating to these Terms or the Services, regardless of the form of action, exceed the total amount you paid to Logic Impact Group, LLC for the specific Services giving rise to the claim in the twelve (12) months immediately preceding the event giving rise to the liability.

7. Indemnification

You agree to indemnify, defend, and hold harmless Logic Impact Group, LLC, along with its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and licensors, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) that such parties may incur. This indemnification obligation arises as a direct or indirect result of, or in connection with, your (or anyone using your account's) violation of these Terms, your misuse of the Services, your infringement of any third-party rights (including intellectual property rights), or any content you submit, post, or transmit through the Services. This ensures that Logic Impact Group is protected from legal and financial repercussions stemming from your actions.

8. Communication Opt-In (Email and Text)

By voluntarily providing your email address and/or phone number to Logic Impact Group, LLC, you provide your explicit and affirmative consent to receive various types of communications from us related to our Services. These communications are designed to keep you informed and engaged:

• Email Communications: This may include, but is not limited to, targeted promotional offers for new services or discounts, informative newsletters containing industry insights and company updates, essential service updates regarding system maintenance or changes, important announcements about our operations, and detailed information about new features, products, or services that may be of interest to your business.
• Text (SMS) Messages: You consent to receive text messages which may include critical service-related alerts (e.g., system outages, urgent updates), convenient appointment reminders for consulting sessions, timely updates regarding the progress of your consulting projects or AI service implementations, and occasional promotional messages about our offerings. Please be aware that standard message and data rates may apply, depending on your mobile carrier plan.

Opt-Out Procedures

• You retain the right to opt out of receiving promotional emails at any time by simply following the clearly provided unsubscribe link located at the bottom of those emails.
• To discontinue receiving text messages, you can easily reply "STOP" to any message you receive from our automated system. Upon sending "STOP," you may receive a final confirmation message acknowledging your opt-out request.

It is important to understand that even if you choose to opt out of promotional communications, we reserve the right to send you essential non-promotional communications. These may include, for example, messages about your account status, security alerts, billing information, or critical updates directly related to your ongoing use and functionality of the Services.

9. Termination

We reserve the unequivocal right, at our sole discretion, to immediately terminate or suspend your access to all or any part of our Services without prior notice or incurring any liability. This action may be taken for any reason whatsoever, including but not limited to, if we believe you have breached these Terms, engaged in fraudulent activity, or if your conduct negatively impacts the integrity or security of our Services or other users. Upon any such termination, your right to use the Services will immediately and irrevocably cease. Any provisions of these Terms which, by their nature, should survive termination (e.g., intellectual property, disclaimers, limitation of liability, confidentiality) shall remain in full force and effect.

10. Governing Law and Dispute Resolution

These Terms shall be exclusively governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles. This choice of law ensures consistency and predictability in legal interpretation.

Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Services shall be exclusively initiated and resolved in the state or federal courts located within Hartford County, Connecticut. By agreeing to these Terms, you irrevocably consent to the personal jurisdiction of these courts and waive any objection to the venue of such courts.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time to reflect changes in our Services, legal requirements, or business practices. If a revision is deemed material, we will endeavor to provide you with at least 30 days' notice prior to any new terms taking effect, typically through email or a prominent notice on our website. What constitutes a "material change" will be determined at our sole discretion, but generally refers to changes that significantly alter your rights or obligations. By continuing to access or use our Services after those revisions become effective, you explicitly agree to be bound by the updated and revised terms.
